| Initial public offer of up to 43,239,042 equity shares of face value of Rs. 10 each ("Equity Shares") of Bonfiglioli Transmissions Limited ("The Company" or the "Issuer") for cash at a price of Rs. 586 per equity share (including a premium of Rs. 576 per equity share) ("Offer Price") aggregating to Rs. 2533.66 Crores through an offer for sale (the "Offer") of up to 43,239,042 equity shares of face value of Rs. 10 each aggregating to Rs. 2533.66 Crores (the "Offer for Sale" and such equity shares, the "Offered Shares") by Bonfiglioli S.P.A. ("Promoter Selling Shareholder"). The offer includes a reservation of up to 48,600 equity shares of face value of Rs. 10 each, aggregating up to Rs. 2.85 Crores (constituting up to 0.11% of the post-offer paid-up equity share capital of the company), for subscription by eligible employees ("Employee Reservation Portion"). The company, in consultation with the brlms may offered a discount of up to Rs. 29 of the offer price to eligible employees bidding in the employee reservation portion ("Employee Discount"). The offer less the employee reservation portion is hereinafter referred to as the " Net Offer". The offer and the net offer shall constitute 23.00% and 22.97% of the post-offer paid-up equity share capital of the company, Respectively.
Price Band: Rs. 586 per equity share bearing face value of Rs. 10 each.
The floor price is cap price is 58.60 times of the face value of the equity shares.
Bids can made for a minimum of 25 equity shares of face value of Rs. 10 each and in multiples of 25 equity shares of face value of Rs. 10 each thereafter.
A discount of Rs. 29 per equity share is being offered to eligible employees bidding in the employee reservation portion.
